1. Definitions and Interpretation

1.1 In this Agreement, unless the context otherwise requires:

Agreement means these Vendor Terms & Conditions, including any amendments issued by Maveli Store from time to time.

Australian Consumer Law (ACL) means Schedule 2 of the Competition and Consumer Act 2010 (Cth).

Customer means any individual or entity that browses, enquires about, or purchases products or services from a Vendor through the Platform.

Goods means any physical or digital products listed, offered, or sold by the Vendor through the Platform.

Intellectual Property means all trade marks, logos, images, copy, designs, and proprietary material.

Listing means any product, service, or business profile published by the Vendor on the Platform.

Maveli Store / Platform means the digital marketplace operated at [insert website URL], including its owners, directors, employees, contractors, and affiliates.

Services means any services offered by the Vendor to Customers through the Platform.

Vendor means the individual, sole trader, partnership, or company registered to list products or services on the Platform.

1.2 Headings are for convenience only and do not affect interpretation.


2. Nature of the Platform

2.1 Maveli Store operates solely as a digital marketplace platform connecting independent Vendors with Customers.

2.2 Maveli Store is not a supplier, manufacturer, distributor, agent, or party to any transaction between Vendor and Customer.

2.3 All contracts for sale are formed directly between the Vendor and the Customer.

2.4 Nothing in this Agreement creates any agency, employment, partnership, joint venture, or franchise relationship.


3. Vendor Obligations

3.1 Compliance with Law

The Vendor warrants that:

  • All Goods and Services comply with applicable Commonwealth and State laws.
  • Products meet all requirements under Australian Consumer Law.
  • Required licences and permits are held and valid.

3.2 Food Vendors (If Applicable)

Vendors selling food products warrant compliance with:

  • Food Act 1984 (Vic)
  • Relevant Victorian local council registration requirements
  • Applicable food handling and safety standards

The Vendor is solely responsible for food safety compliance.

3.3 Fulfilment & Delivery

The Vendor is solely responsible for:

  • Storage, packaging, and dispatch of Goods
  • Managing delivery or pickup
  • Communicating with Customers regarding orders
  • Handling refunds and exchanges under ACL

Maveli Store provides no warehousing, logistics, or delivery services.

3.4 Listing Standards

The Vendor agrees:

  • All Listings must be accurate and truthful.
  • Images and descriptions must not be misleading.
  • No illegal, harmful, unsafe, or prohibited goods may be listed.

Maveli Store may remove or suspend any Listing at its discretion.


4. Fees, Commission & Payment

4.1 Subscription Fees

Listing on the Platform may require payment of a recurring Subscription Fee as communicated to the Vendor.

Maveli Store may update subscription pricing with 30 days’ notice.

4.2 Commission

Maveli Store will deduct a commission (between 5%–10% of gross sale value inclusive of GST) from Vendor payouts.

The applicable commission rate will be displayed in the Vendor dashboard.

4.3 GST

All fees are exclusive of GST unless stated otherwise.

4.4 Cancellation by Vendor

Vendor may cancel subscription with 7 days written notice. No refunds apply for prepaid fees unless required by law.


5. Intellectual Property

5.1 The Vendor grants Maveli Store a non-exclusive, royalty-free licence to use Vendor content for the purpose of operating and promoting the Platform.

5.2 The Vendor warrants that all submitted content does not infringe third-party intellectual property rights.

5.3 All Platform intellectual property remains the exclusive property of Maveli Store.


6. Data Protection & Privacy

6.1 The Vendor must comply with the Privacy Act 1988 (Cth) and any applicable data protection laws.

6.2 Customer data accessed through the Platform may only be used for order fulfilment and legitimate business purposes.

  • 6.3 The Vendor must not sell, misuse, or disclose Customer data to third parties without lawful authority.

7. Limitation of Liability

To the maximum extent permitted by law, Maveli Store excludes liability for:

  • Vendor product quality
  • Delivery delays
  • Customer disputes
  • Regulatory investigations
  • Platform outages
  • Loss of revenue or business opportunity

Where liability cannot be excluded under ACL, it is limited to:

  • Re-supply of Platform services; or
  • Payment of the cost of re-supply.

8. Vendor Indemnity

The Vendor indemnifies and holds harmless Maveli Store against all claims, losses, damages, fines, penalties, or legal costs arising from:

  • Breach of this Agreement
  • Product liability claims
  • Regulatory non-compliance
  • Customer disputes
  • Intellectual property infringement

This indemnity survives termination.


9. Suspension & Termination

Maveli Store may suspend or terminate Vendor access if the Vendor:

  • Breaches this Agreement
  • Engages in unlawful conduct
  • Fails to pay fees
  • Damages Platform reputation

No refund of prepaid fees applies unless required by law.


10. Dispute Resolution

Parties agree to attempt good faith negotiation within 14 days before commencing legal proceedings.

Nothing prevents urgent court action where necessary.


11. Governing Law

This Agreement is governed by the laws of Victoria, Australia.

The parties submit to the jurisdiction of the courts of Victoria.


12. Non-Exclusivity

Vendors are free to sell their products or services on other platforms unless otherwise agreed in writing.


13. Amendments

Maveli Store may update these Terms by providing 14 days’ notice.

Continued use of the Platform constitutes acceptance of updated terms.


Acceptance of Terms

By registering as a Vendor on the Maveli Store platform, creating a Vendor account, or listing products or services on the Platform, the Vendor acknowledges that they have read, understood, and agree to be legally bound by these Vendor Terms & Conditions.
